Welcome! Not many people make it to the Terms of Use page, so congrats on being here. We don’t love jargon either, and we’ve done our best to keep this clear so you know the rules of the game.
Counselwell Inc. (“Counselwell”, “we”, “our”, “us”) provides memberships, community access, events (virtual and in-person), courses, newsletters, surveys, content, information, services, and software (together, the “Services”) through our website www.counselwell.ca and www.community.counselwell.ca (the “Site”). By using the Site or Services, you agree to be bound by these Terms of Use (the “Terms”). If you don’t agree, you may not use the Services.
1. Accounts & Membership

You must be at least 18 and the age of majority in your jurisdiction to create an account (“Account”).

You’re responsible for keeping your account information accurate and your login credentials secure.

You may not share or transfer your account.

If you contact us about an account, we’ll only grant access if you can verify you’re the rightful owner.

Accounts are personal and non-transferable. In the event of death, an account will be closed.

You can terminate your account anytime via the Site or by contacting us here.

2. License
Subject to these Terms, Counselwell grants you a limited, non-exclusive, non-transferable, revocable license to use the Services for your own professional development and networking purposes. You may not copy, distribute, resell, sublicense, modify, or create derivative works of the Services unless we expressly permit it.
3. User Content
Some Services (e.g., forums, job postings, surveys, event discussions) allow you to post or submit content (“User Content”).

You retain ownership of your User Content.

By posting or submitting, you grant Counselwell a worldwide, royalty-free, non-exclusive license to use, reproduce, modify, adapt, publish, and display such content (including anonymized survey responses) in connection with our Services.

You represent that your User Content does not infringe the rights of others or violate the law.
4. Copyright & Intellectual Property
All content provided by Counselwell (logos, publications, videos, newsletters, articles, graphics, images, HTML code, and other materials) (“Materials”) are owned by us and protected by Canadian and international intellectual property laws. Unauthorized use of the Materials may violate copyright, trademark, and other laws.
5. Payments, Renewals & Refunds

Prices for Services are shown at checkout. Applicable taxes will be added.

Memberships may be sold as subscriptions. If so, they automatically renew unless canceled prior to the renewal date.

We may offer promotional codes that expire if not used within the specified time.

Except where prohibited by law, all purchases are non-refundable, including if your account is suspended or terminated for violating these Terms.
6. Restricted Use
You may not, without our written consent:

Share Materials or your login credentials with others inside or outside your organization.

Reproduce, publish, sell, rent, transfer, or sublicense Materials.

Decompile, reverse engineer, or modify the Services.
7. Events
We host both virtual and in-person events. While we do our best to deliver high-quality programming, we can’t guarantee that any event will take place as described. By attending in-person events, you agree that you participate at your own risk. Counselwell is not responsible for personal injury, illness, travel issues, or property damage that may occur.
8. Disclaimers
The Services and Materials are provided “as is,” without warranties or conditions of any kind.
Counselwell disclaims all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.
We do not guarantee uninterrupted access, error-free operation, or virus-free systems.
The Materials are for professional development only and do not constitute legal advice. You must exercise your own professional judgment when using them. Views expressed by speakers, authors, or instructors are their own and not necessarily those of Counselwell.
9. Limitation of Liability
To the fullest extent permitted by law:

Counselwell will not be liable for indirect, incidental, or consequential damages (including loss of data, profits, or opportunities).

Our total liability for any claim related to the Services will not exceed the amount you paid for the Services.

We specifically disclaim liability related to in-person events.
10. Indemnity
You agree to indemnify and hold Counselwell harmless from any claims, damages, or costs arising from:

Your use of the Services,

Your User Content,

Your violation of these Terms, or

Any claims brought by your employer or other third parties in connection with your use of the Services.
11. Amendments
We may update these Terms at any time by posting the revised version on our Site. The changes take effect when posted. Continued use of the Services means you accept the updated Terms.
12. Termination
We may suspend or terminate your account at any time for any reason, including violations of these Terms or our Community Guidelines.
Termination does not entitle you to a refund.
13. Force Majeure
We are not liable for delays or failures caused by events outside our reasonable control (including natural disasters, strikes, pandemics, or internet outages).
14. General

These Terms, together with our Privacy Policy, form the entire agreement between you and Counselwell.

If any part of these Terms is found invalid, the rest remains enforceable.

Failure to enforce any right is not a waiver of it.

You may not assign these Terms without our consent.

These Terms are governed by the laws of Ontario and the federal laws of Canada. Any disputes will be resolved exclusively in the courts of Ontario, in Toronto.
Community Guidelines
đź‘‹ Welcome to Counselwell, a professional community designed for in-house lawyers to connect, share knowledge, and grow together. To ensure our community remains a supportive and productive environment, we ask that all members adhere to the following community guidelines:
1. Respect and Professionalism

Treat all members with respect and courtesy. We value diverse opinions and encourage thoughtful, constructive discussions.

Personal attacks, harassment, or discriminatory remarks of any kind will not be tolerated.

Maintain a professional tone in all interactions. This is a space for legal professionals to collaborate and learn from each other.
2. Confidentiality

Do not share sensitive, confidential, or proprietary information about your organization or clients.

Discussions within this community should remain confidential unless otherwise specified. Respect the privacy of other members and their organizations.
3. Constructive Contributions

Share insights, experiences, and resources that can benefit the community. We encourage you to contribute to discussions, ask questions, and offer support. This is very much a get out what you put in type of community.

Ensure that your contributions are relevant and add value to the conversation. Avoid off-topic discussions or self-promotion outside of designated areas.
4. No Solicitation

This community is not a platform for marketing or sales pitches. Please refrain from soliciting services or products to other members unless it is within a specific, approved context.

If you wish to share a service or product that may benefit the community, please contact us first.
5. Intellectual Property

Respect the intellectual property rights of others. Do not share content that you do not have the right to distribute.

When sharing resources or materials, provide proper attribution and ensure you have the necessary permissions.
6. Participation

Active participation is encouraged, but it’s important to engage in a way that aligns with your professional responsibilities.

Please refrain from posting excessively or dominating discussions. Allow space for all members to share their thoughts.
7. Reporting Issues

If you encounter any issues, including breaches of these guidelines or behaviour that makes you uncomfortable, please report it by contacting us here.

We’re here to ensure the community remains a safe and productive space for all members.
8. Compliance with Laws

Ensure that all content shared and activities conducted within the community comply with applicable laws and regulations.
9. Amendments to Guidelines

These guidelines may be updated from time to time to reflect the evolving needs of the community. Members will be notified of any significant changes.
